Reporting to the Head of Mergers and Acquisitions, the Senior Manager of the team will contribute to the development and shaping of strategy. Undertaking regular market reviews and identification of potential targets, e.g. periodically, to review specialist areas of classes of business where it is considered an acquisition would represent a strategic fit.
Undertake financial appraisal and reporting of significant external transactions including business acquisitions and disposals for this large financial services group.
Providing project management for the financial aspects of these transactions including:
• Contact with external stakeholders and advisors, including lawyers and investment banks
• Managing the involvement of internal stakeholders, including Group Legal, M&A, Tax and HR
• Liaison with other areas of finance to ensure the accounting and other financial impacts and well understood and management.
• Preparation and presentation of business cases for M&A transactions to Executive and, if appropriate, the Group Committee
• Manage the financial appraisal, governance and key controls around debt financing activity with key B2B partners.
• Establish and maintain a robust process for investment appraisal and ensure that governance procedures are complied with.
• Ensure M&A policies for valuation methodologies are well documented, effectively communicated, continuously reviewed and updated to reflect internal / external changes.
• Build and maintain relationships with key investment banks and advisors to ensure that the group has the opportunity to participate in any upcoming M&A processes and that any sector developments are communicated to the team.
Key Responsibilities
• Undertaking financial appraisal of significant external transactions including business acquisitions and disposals.
• Providing project management for the financial aspects of transactions. Liaise with all external contacts including lawyers, banks and advisers.
• Identify potential financial risks and to provide guidance on how these should be mitigated.
• Evaluate, manage and execute external lending debt financing opportunities.
Experience Skills & Qualifications
• Qualified Accountant or “qualified by experience”
• Experience in M&A and corporate finance techniques and investment appraisal
• Strong skills in negotiating, communication and influencing
• Ensure M&A guidelines and governance are adhered to
